This is an important agreement between you (referred to as “you” or the “Member”) and QCOR Pty Ltd ACN 683 296 764 (Australia), Quantum Global Ops Ltd C107612 (Malta), and Quantum Human FZ-LLC Licence No. 47023956 (Dubai, United Arab Emirates) (each in its own right or as agent for the other, and together referred to as “Quantum Group”), by which Quantum Group agrees to provide your selected Program(s) (defined below) to you, and you agree to pay for them (“Terms”).
You, the Member, agree to be bound by these Terms by signing these Terms, or by paying any amount to Quantum Group for the Programs.
These Terms apply to all Quantum Group Programs, including but not limited to:
Quantum Experience, Quantum Advanced, Quantum Wealth Mastermind, Quantum Accelerator, Quantum Elite, Quantum Summits, Quantum Life and Business Mastery, Quantum Coach Certification, the Ultimate Speaker Masterclass, the Quantum Business Success Automation Incubator, and the Conscious Enterprise Retreat.
The Member acknowledges and agrees that these Terms also apply to any future Programs, events, courses, retreats, or other offerings introduced by Quantum Group from time to time, whether or not specifically listed above.
Your enrolment in the Program(s) is subject to availability. If a Program cannot proceed for any reason, Quantum Group will contact the Member to organise an alternative date or Program.
Full details of each Program, including inclusions and exclusions, are as specified on Quantum Group’s website and as amended from time to time.
Payment of Program Fees
In consideration of Quantum Group providing the Program(s), the Member agrees to pay Quantum Group the Program fees and any other charges in the manner and with the timing specified in the Registration Form.
If the Member fails to pay any amount when due under these Terms, Quantum Group may in its discretion suspend the provision of the Program(s) to the Member until payment of the overdue amount is received in full (including 12% interest chargeable at Quantum Group’s discretion).
If the parties have agreed that the fees will be paid via a direct debit, or credit or debit card payment plan, then the Member irrevocably authorises Quantum Group to debit the fees during the term from the Member’s nominated bank account/credit card/debit card (“Account”), on or about the due date for payment without notice.
The Member must ensure that Account details are up to date at all times and notify Quantum Group in the event of changes. Reasonable default charges will apply in the event that you stop the authority to charge on your Account without Quantum Group’s prior agreement. Insufficient funds will also attract a reasonable administration fee. Such fees will be outlined in billing communications.
All fees and charges are inclusive of GST/VAT (or equivalent) unless expressed otherwise. Quantum Group reserves the right to charge transaction fees equivalent to those charged by merchant providers.
The Member agrees to pay the Program fees and any other charges to the Quantum Group entity specified on the Registration Form or invoice. Quantum Group may allocate billing between QCOR Pty Ltd, Quantum Global Ops Ltd, or Quantum Human FZ-LLC depending on Program location, currency, and tax requirements.
The Member acknowledges and agrees that all Programs are intended for general education and information purposes only. Nothing published on drespen.com (the “Website”), or provided to the Member by Quantum Group during the Programs (“the Content”) constitutes business, financial, legal, medical, tax or other professional advice. Members should always seek independent professional advice.
These Terms constitute the full and complete understanding between the parties with respect to their subject matter. Quantum Group disclaims and excludes all representations, guarantees, conditions, warranties and undertakings to the maximum extent permitted by law.
Quantum Group’s maximum aggregate liability to the Member in any 12-month period is limited to the actual fees paid by the Member in that period.
Quantum Group expressly excludes liability for any injury, damage, loss, delay or inconvenience caused directly or indirectly by:
a. the Member’s access or use of the Content;
b. the Member’s participation in the Programs or reliance on the Programs or Content;
c. any event beyond Quantum Group’s control.
Nothing in these Terms is intended to exclude, restrict, or modify the operation of:
Where liability under such laws cannot be excluded, Quantum Group’s total liability is limited, at its option, to:
Quantum Group excludes any liability for special, indirect or consequential loss, including loss of profits, sales, opportunities, or goodwill.
Testimonials and examples are not guarantees of results. Any financial representations are illustrative only and not financial advice.
The Member acknowledges that Program materials include Quantum Group’s intellectual property (“Materials”). Subject to compliance with these Terms, Quantum Group grants the Member a revocable, non-exclusive, non-transferable licence to access and use the Materials during the Program, solely for personal benefit.
The Member must not copy, disclose, use commercially, or exploit the Materials.
Photos, Videos, and Testimonial Consent
The Member acknowledges and agrees that Quantum Group (or its authorised agents) may capture photos, video, or audio during Programs (including coaching calls).
The Member authorises Quantum Group to use such media, likeness, testimonials, and feedback for promotional and marketing purposes, including on websites, social media, and events.
Member Obligations and Termination
The Member must not engage in illegal, disruptive, defamatory, offensive, or discriminatory conduct in connection with Programs or online communities.
Failure to attend a Program does not entitle the Member to a refund.
Quantum Group reserves the right to refuse membership or terminate participation at its discretion. Refunds may be offered pro rata only where termination is not caused by Member breach.
Indemnity
The Member indemnifies Quantum Group (including QCOR Pty Ltd, Quantum Global Ops Ltd, and Quantum Human FZ-LLC, and their officers, employees, contractors, and agents) against all direct losses, liabilities, costs, penalties, and expenses suffered or incurred by Quantum Group arising out of or in connection with:
